CONSTITUTION OF THE

LAHORE AMERICAN SCHOOL ALUMNI ASSOCIATION. 

  1. NAME: The name of the Association is “LAHORE AMERICAN SCHOOL ALUMNI ASSOCIATION”. 
  2. REGISTERED OFFICE: The registered office of the Association shall be situated at the Lahore American School, 15, Upper Mall, Lahore. 
  3. AIMS AND OBJECTS:
  •  
    1. To maintain a close contact with the Alumni community;
    2. To maintain a causal link between the Alumni’s and the Society/School;
    3. To take and sustain an active interest in the welfare of the school;
    4. To promote any project or undertaking which will advance the interests of the school;
    5. To foster the spirit and unity among students;
    6. To prepare and maintain the Alumni Database;
    7. To provide financial aid, Scholarships and other support to deserving students of Lahore American School for their Eucation at the Lahore American School or in College/University;
    8. To promote the general welfare of our society through whatever means necessary.

 

4. CURRENT OFFICE BEARERS AND EXECUTIVE COMMITTEE:

 

The current office bearers of the association are mentioned below who shall continue to occupy their office until the first election held under this constitution in March_______:

  1. The income and property of the Association shall be applied solely and exclusively towards the promotion of the objects of the Association as set forth in this Memorandum  of Association and no portion there of shall be paid or transferred directly or indirectly by way of dividend, bonus or otherwise by way of profit to the members of the Association. The association’s profits and assets after meeting its liabilities, if any, shall either be invested or transferred to a fund approved under the Income Tax Rules, 1982.

We the several persons whose names and address are subscribed herein below are desirous of being formed into an association in pursuance of this Memorandum of Association:

                                        ARTICLES OF ASSOCIATION OF

LAS ALUMNI ASSOCIATION. 

  • DEFINITIONS:
  1. ASSOCIATION: “Means the Lahore American School Alumni Association”.
  1. “Executive Committee means the persons subscribing to the memorandum and thereafter those elected to that committee”.
  2. CONTITUTION: “Means the Memorandum of Association and Articles of Association of Lahore American School Alumni Association”.

II COMPOSITION OF ASSOCIATION:

The Association shall comprise of students of Lahore American School having the following qualifications (subject to enlistment and regular payment of Annual Subscription).

 

  • Who studied at the Institution for one or more years, or
  •   Who is specially elected a member at a general meeting of the Association.
  •  Who graduated from the Lahore American School.

III MEMBER OF THE ASSOCIATION

      There shall be the following categories of the Members:

  •   Life members: Persons otherwise qualified who pay a subscription of Rs. _________/- shall be enlisted as life member.
  •  Ordinary members: Persons otherwise qualified on payment of annual fee of Rs. _________/- shall be enlisted as Ordinary Members.
  • Honorary members: The Association may have a maximum of 12 persons as honorary members comprising persons who have rendered conspicuous service of Lahore American School and who are otherwise not qualified for membership to the Association. 

IV ASSOCIATE MEMBERS:

The Superintendent of the Lahore American School and the President of the NHS for the time being shall be associate members of the Association. The Executive Committee shall have power to elect as Associate Member (1) any ex-principal/ superintendent of the School or (2) Parents of present and past students or (3) other friends who, in the opinion of the Committee, are likely to promote the interest of the Association. Associate Members shall have no voting powers, nor will they hold any office.

V THE GENERAL BODY:

1.  The General Body shall consist of all members of the Association which shall meet and transact business at the General Meeting.

2. The overall management of the Association shall vest in the General Body.

3. At its annual and extra ordinary meetings the General Body shall be empowered to transact any or all of the following business:-

i) The confirmation of the Minutes of the last Meeting and the consideration of the matters arising therefrom.

ii) The framing of the General Policy of the Association, compatible with the Aims and Objectives of the Association.

iii) The consideration and approval of the annual audit and settlement of Accounts and the consideration and approval of the appointment of Auditors.

iv) The consideration and approval of the Annual Budget.

v) The notification of bye-laws framed from time to time by the Executive Committee.

4. The Minutes of the meeting of the General Body shall be kept by the Secretary of the Association.

5. The quorum at a meeting of the General Body shall consist minimum of ______ members, at least _____________ members shall be present in meeting in which the constitution is to be amended. The determination of the number of members present shall exclude associate members.

6. The meeting of the General Body shall be presided over by the President of the Association and in his/her absence by the Vice President.

VI AMENDENT OF THE CONSTITUTION:

 

  • The Constitution may be amended by the General Body, provided that such an amendment is passed by a majority of not less than three/fourths of the members present and voting at the meeting.

 

  •   No amendment to the Constitution or the Articles shall be adopted in any meeting unless a notice has been sent to the members through Registered/Certified Post at the addresses recorded in the Register of Members so that the dispatch of such notice is at least 14 days prior to the meeting. It will be necessary for such notice to contain the text of any proposed amendment or amendments.

 

  •   The quorum at a meeting convened to consider a proposal for amendment of the Constitution shall consist of not less than 15 members.

VII THE EXECUTIVE COMMITTEE:

 

  • The Executive shall be responsible for the policy and review of the affairs of the Association and shall from time to time provide for the management of the affairs of the Association and transaction of affairs with the affiliated branches of the Association. In exercise of its powers the Committee shall do or perform any or all of the acts, things or functions mentioned herein below:  
  1. Appoint Sub-Committees to carry out and perform specified functions delegated to them and relating to the efficient management of the affairs and/or the furtherance of the objectives of the Associations.
  2. Select as well as expel in its discretion any member of the Association, provided that the General Body shall have the right to review any decision taken by the Executive Committee in this regard.
  3. Make any and or repeal Bye laws for the regulation of the business of the Association, its officials and administrators.
  4. The Executive Committee shall consist of __ members. The composition of its members shall be as follows:
  5. __________members of the Executive Committee shall be elected directly by the General Body.  
  6. The President and Secretary of all Alumni Association chapters shall have the right of automatic election as associate members of the Executive Committee.
  7. The President, Vice President, Secretary and Treasurer of the Association shall be the associate members of the Executive Committee.
  8. The meeting of the Executive Committee shall be presided over by the President of the Association and in his/her absence by the Vice President of the Association.
  9. The Executive Committee shall maintain minutes of the proceeding to be kept in books provided for the purpose. Such books shall be open for inspection by the General Body on request.
  10. The quorum at a meeting of the Executive Committee shall consist of not less than ____ members.  
  11. The term of office of the members of the executive committee shall be ___ years.

VIII OFFICE BEARERS AND THEIR FUNCTIONS:

 

The Office Bearers of the Association shall be:-  

  1. The President
  2. The Vice President
  3. Secretary
  4. Treasurer

2. a) The President and other office bearers shall be elected for a term of two years by the General Body from amongst its members.

b) The President shall have full control over all the affairs and property of the Association. He/she shall preside over the meetings of the General Body and the Executive Committee.

c) The Vice President shall assist the President in the discharge of his/her duties.

d) The Secretary shall keep the Minutes of all the meetings. She/he shall maintain a Register of the Minutes of the Meetings, a Register of Members and the other Records of the Association and shall send notices to the members.

e) The treasurer shall be responsible for the management of the funds of the Association along with the President and the Vice President. She/he shall pay all bills, collect dues, keep full accounts and shall have such accounts audited annually by the Auditors of the Association.

 X. ALUMNI AND AFFILIATED BRANCHES:

1. There shall be two affiliated branches of Alumni functioning at Karachi and Islamabad. The Executive Committee of Alumni may at its discretion affiliate further branches of Alumni in any city, province or area determined by the General Body.

2. The affiliated branches of Alumni shall conduct their activities and manage their affairs independently of any control by the Executive Committee; provided that the Executive Committee shall review on full disclosure the affairs of the affiliated branches annually to ensure their functioning within the terms of this Constitution.

3. The Executive Committee of Alumni may seek the assistance of affiliated branches for projects approved by the General Body and in regard thereto obtain information, records and funds from the affiliated branches.

4. Members of the Association registered at the affiliated branches shall have the right to participate in all meetings of the General Body and shall have the right to vote on any matter.

      XI PRIVILEGES OF THE MEMBERS OF THE ASSOCIATION: 

  1. They shall be entitled to representation to the Lahore American Society Board (the Governing Body of the Lahore American School) for which the Association shall submit a panel of names to the President of the Board whenever vacancies occur.
  2. The members will be facilitated to attend the following occasions, such as the Annual Sports Day, the Academic Awards Ceremony, the SAISA Events and School Sports Days without a formal invitation. They will also be invited when the School holds a function in honour of an outstanding dignitary from a foreign country.
  3. They may become Members of the School Library on furnishing Library Security of Rs. __________/-
  4. They may wear the Special Association Souvenirs.  
  5. Their spouses may attend the Association dinner and other functions on payment of half the subscription for the event.
  6. They shall be entitled to stay at the ______________. They may take responsibility for School maintenance and facilities over Summer and Winter Holidays.

 

XII FUNDS OF THE ASSOCIATION:

1. The funds of the Association shall be applied towards the attainment of the aims of the Association.

2. The funds of the Association shall be kept at a Scheduled Bank in an account in the name of the Association which shall be operated by the Joint Signatures of the President, Treasurer, and Superintendent unless the Executive Committee directs otherwise.

XIII AUDITORS:

The accounts of the Association shall be kept by ___________ and shall be audited free of cost for as long as the executive committee desires.

      XIV APPLICATION OF INCOME:

The Association shall utilize its income and other receipts solely towards the promotion of its objectives and no portion thereof shall be paid or transferred directly or indirectly by way of dividend, bonus or otherwise, however, by way of profit or by any other means to the members of the Association and/or their relatives.

      XV INVESTMENT OF SURPLUS FUNDS:

The Association shall utilize its income and donations received by it during the preceding year for achieving its aims and objects, and any money set apart or not utilized shall not exceed twenty five percent (25%) of its income including donations made to it or Rupees ______ thousand (Rs. _______/-) whichever is less. Any excess amount will be invested in the approved Government Securities and in NIT units under intimation to the Central Board of Revenue.

      XVI AMENDMENTS:

Any of these Articles may be amended or replaced and new articles may be adopted at a general meeting being proposed by 2/3 of the Members and ratified by at least ¾ of the members present in the Quorum.

      XVII DISSOLUTION:

In the event of the dissolution of the Association, its assets left after meeting its liabilities, if any, shall be transferred to an institution or funds or trust approved under Income Tax Rules _____ or any other law for the time being in force under intimation to the Central Board of Revenue, within three (3) months of the dissolution.
